Commercial Terms of Sale

Effective as of: June 01, 2025

These Terms and Conditions (“Terms”) govern the sale of products and related services by American Industrial Wood Technologies, LLC, doing business as WoodProM (“WoodProM,” “we,” or “us”), to its customers (“Buyer”).

By placing an order with WoodProM, the Buyer agrees to be bound by these Terms, unless otherwise agreed to in writing by both parties.

1. Order Acceptance

All orders are subject to final acceptance by WoodProM. Quoted availability and pricing are valid for the period stated in the quote. Orders must clearly state quantities, dimensions, grades, specifications, delivery terms, and any special instructions.

2. Product Specifications

WoodProM will supply products in accordance with the agreed-upon specifications. Tolerances and grade criteria will be in line with industry norms unless otherwise specified in writing. Natural variations in wood appearance, tone, and grain are inherent and do not constitute defects.

3. Custom & Private Label Products

Orders involving private label packaging or custom manufacturing require written confirmation of artwork, packaging specs, and lead times. WoodProM is not responsible for delays resulting from Buyer’s failure to provide timely approvals.

4. Pricing & Payment

Prices are quoted in U.S. dollars unless otherwise stated.
Payment terms vary by customer and product line, and are established on a case-by-case basis. These may include prepayment, Net 10, Net 30, or other mutually agreed terms. Terms will be specified in the invoice or purchase agreement.

Late payments may be subject to finance charges at 1.5% per month or the maximum allowed by law. WoodProM reserves the right to withhold shipments in the event of overdue balances.

5. Shipping Terms & Delivery Methods

Shipping terms are determined individually per order and may include:

• CIF U.S. Port
• DDP U.S. Port or Customer’s Warehouse
• FOB Our Warehouse (NJ, CA, TX, or other locations)

Products may be delivered in full container loads or reloaded and shipped via truck. Customers may also arrange pickup from designated U.S. warehouse locations.

Risk of loss passes to the Buyer based on the agreed Incoterm. WoodProM can assist with freight logistics but does not assume liability for carrier delays once goods are in transit.

6. Delivery Windows & Warehousing

Quoted lead times are estimates and subject to change. WoodProM is not liable for delays caused by customs clearance, port congestion, weather events, or other force majeure situations.

Buyers receiving product from U.S. warehouses must coordinate timely pickup or delivery. Storage fees may apply for extended holding without prior agreement.

7. Claims & Returns

Buyer must inspect all shipments upon delivery and report any shortages, damage, or quality issues in writing within 7 calendar days of receipt. No claims will be accepted beyond this window.

Returns are not accepted without prior written authorization. Approved returns may be subject to restocking fees or disposal charges.

8. Compliance & Certifications

WoodProM is FSC® Certified and complies with the Lacey Act and all relevant environmental and import regulations.

We source exclusively from legally verified, responsibly managed forests. Certifications and documentation are available upon request.

9. Force Majeure

WoodProM is not liable for failure to perform due to causes beyond its reasonable control, including but not limited to natural disasters, war, export restrictions, strikes, pandemics, supply chain disruptions, or government actions.

10. Governing Law

These Terms shall be governed by the laws of the State of Connecticut, USA, without regard to conflict of law provisions. Any disputes shall be resolved in the courts located in Fairfield County, Connecticut.

11. Modifications

WoodProM reserves the right to modify these Terms at any time. Updated versions will be posted on our website and apply to orders placed after the revision date.
